Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website operated by Phronex™ Solutions Pvt Ltd ("Phronex™", "we", "us", or "our") at phronex.com and all related sub-domains (the "Site"). By accessing or using the Site you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. Services Overview

Phronex™ Solutions provides boutique technology and business consulting services including, but not limited to, fractional CXO leadership, AI and ML transformation, data engineering, cybersecurity advisory, digital solutions, and industry-specific consulting. Service engagements are governed by separate Statements of Work ("SOW") or Master Services Agreements ("MSA") entered into between Phronex™ and the client.

2. Intellectual Property

All content on the Site (including text, graphics, logos, icons, images, audio clips, data compilations, and software) is the property of Phronex™ Solutions or its content suppliers and is protected by international copyright and trademark laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site without prior written consent from Phronex™ Solutions.

3. Use of the Site

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Site in any way that violates any applicable law or regulation.
  • Introduce viruses, trojans, worms, or other material that is technologically harmful.
  • Attempt to gain unauthorized access to any portion of the Site, server, or database connected to the Site.
  • Use any automated means (bots, crawlers, scrapers) to access the Site without our express written permission.
  • Impersonate or attempt to impersonate Phronex™, a Phronex™ employee, or another user.

4. Disclaimer of Warranties

The Site and its content are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Phronex™ does not warrant that the Site will be uninterrupted, timely, secure, or error-free.

5. AI-Powered Products — Important Notices

The following terms apply specifically to Phronex™ SaaS products that use artificial intelligence, including Content Companion, Job Portal, and Phronex Command Centre (collectively, "AI Products").

5a. AI Disclaimer

Content generated by AI within our products may be inaccurate, incomplete, or out of date. Do not rely on AI-generated content as professional advice of any kind — legal, medical, financial, or career-related. You act on AI outputs at your own risk. Phronex™ makes no warranty that AI-generated content is suitable for any particular purpose.

5b. Liability Cap for AI Products

Phronex™ Solutions' total liability to you arising from your use of any AI Product — including any claim related to AI-generated content, automated actions, or data processing — is limited to the fees paid by you to Phronex™ in the current billing month. This cap applies regardless of the legal theory under which the claim is brought.

5c. Indemnification for AI Actions

You agree to indemnify, defend, and hold harmless Phronex™ Solutions, its officers, directors, employees, agents, and affiliates from any claim, liability, or loss arising from: (a) AI-generated content you chose to act upon; (b) automated actions executed on your behalf through our platforms, including job applications submitted automatically; (c) data accessed from third-party portals or services via our platforms at your instruction; or (d) your violation of these Terms.

5d. Third-Party Data

Job listings, company profiles, salary data, and other market information displayed in our products are sourced from publicly available third-party sources. Phronex™ makes no warranty as to the accuracy, completeness, or timeliness of this information. You should independently verify any information before acting on it.

5e. Service Continuity

Phronex™ may discontinue or materially change any AI Product by giving registered users at least one month's notice via email. We will provide reasonable access to allow you to export your data before discontinuation takes effect.

6. Limitation of Liability

To the fullest extent permitted by applicable law, Phronex™ Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from: (a) your access to or use of or inability to access or use the Site or any Product; (b) any conduct or content of any third party; or (c) any content obtained from the Site or any Product. For AI Products, the liability cap in section 5b applies.

7. Confidentiality

Any information exchanged during a consulting engagement or via the Site's contact forms that is marked or reasonably understood to be confidential shall be treated as such by both parties. This obligation survives the termination of any service engagement. Specific confidentiality terms are set forth in individual SOWs or MSAs.

8. Third-Party Links

The Site may contain links to third-party websites or services that are not owned or controlled by Phronex™. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Phronex™ shall not be responsible or liable for any damage or loss caused by or in connection with the use of any such content, goods, or services.

9. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Gurgaon, Haryana, India. For clients in the European Union, nothing in these Terms affects your rights as a consumer under mandatory EU consumer protection laws.

10. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the Site following the posting of revised Terms means you accept and agree to the changes.
